The client named above (herein known as "client" ) is engaging 62c.com as an independent contractor for the purpose of Website design and or maintenance.

Permissions:  The client assigns permission to 62c.com to use account names and passwords to access server space for the purpose of uploading, editing, and testing files.

Payment Schedule:  All payments will be made my check, money order, or PayPal in US funds payable to Bill Davis, 13303 Ashlawn Dr., Louisville, KY 40272.  Upon client's acceptance of a Deliverable, client shall pay any fees due upon such acceptance pursuant to the Payment Schedule set forth in the Design Worksheet. Any added services will incur an added expense, also payable upon client's acceptance.

Liability: 62c.com can not warrant that the functions and content of this site will remain interruption or error free.  We can not be liable for any damages, including lost profits, lost savings, or other damages arising from the operation or inability to operate this site.  62c.com recommends that the client retain the services of us or a reputable and reliable server to house the files of this site.

Copyright and Trademarks:  The client unconditionally guarantees that any images or content they supply to 62c.com for inclusion in the website be owned by the client, or the client has permission from the owner to publish on the site.   Client holds 62c.com unaccountable for any legal implications that may result in using images or content not owned by the client.

Ownership and Copyright of Website:  Before final payment is made, 62c.com retains ownership of the website and it's content not owned or copyrighted by other parties. Upon final payment of the contract, said ownership and copyright will revert to the client.  Rights to any programs, scripts, or other elements that were made available for use to the client, but are not owned by either the client or 62c.com remain the property of the original owner, and all rights and restrictions apply.

Rights Retained by 62c.com: 62c.com retains the right to use a likeness of and link to the client's site for 62c.com's portfolio and for other promotional reasons.  62c.com retains the right to post it's logo and a link at the bottom of the client's home page, stating that the page was designed by 62c.com.

Termination: At any time during the term, 62c.com shall have the right to terminate this agreement without cause.  In the event of termination by either party, the client shall pay to 62c.com all fees due for any Deliverables accepted at the time of termination.

Beta Testing: After 62c.com has uploaded the site to the client's host, the client will have 2 business days to test the site and inform 62c.com of any problems.  After that time, 62c.com will not be held responsible for any problems with the site and a request to fix a problem will result in being billed for maintenance.  Client agrees to pay any and all maintenance fees due and fees are payable at the time of request.

Sole Agreement:  This agreement constitutes the sole agreement between the client and 62c.com regarding this project.  Any additional work not specified in this contract but requested from the client will be billed separately.
